AGREEMENT TO TERMS

These Terms of Service ("Terms") form a legally binding agreement between you ("User," "you," or "your") and ALLBCI LLC ("ALLBCI," "we," "us," or "our"). By accessing or using the ALLBCI website, applications, marketplace, and related services (collectively, the "Platform"), you agree to comply with and be bound by these Terms. If you do not agree, please discontinue use of the Platform immediately.

ELIGIBILITY

2.1 Minimum Age & Authority

  • You must be at least 18 years of age or the legal age in your jurisdiction to enter into a binding contract.
  • You must not be prohibited from using the Platform under any applicable laws.
  • If you use the Platform on behalf of an entity, you represent that you have the authority to bind that entity to these Terms.

ACCOUNT REGISTRATION

  • You may be required to create an account to access certain features of the Platform. You agree to provide accurate, current, and complete information.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account.
  • You must promptly notify ALLBCI of any unauthorized use of your account or any other security breach.

USER RESPONSIBILITIES

By using the Platform, you agree NOT to:

  • Engage in illegal activities, such as hacking, fraud, or data breaches.
  • Upload or transmit any malware, viruses, or other harmful software.
  • Post or distribute content that is hateful, abusive, defamatory, obscene, or otherwise objectionable.
  • Violate any third-party intellectual property or proprietary rights.
  • Circumvent, disable, or otherwise interfere with security-related features of the Platform.

CONTENT OWNERSHIP & LICENSING

5.1 User-Generated Content

  • You retain all rights in any content you post or upload to the Platform.
  • By submitting content, you grant ALLBCI a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content as necessary for Platform operations.

5.2 ALLBCI Intellectual Property

  • All trademarks, logos, service marks, and other intellectual property displayed on the Platform are owned by ALLBCI or used with permission.
  • You may not copy, modify, distribute, or create derivative works of our content without explicit written authorization.

PAYMENTS & REFUNDS

  • Payment Processing: Transactions through the Platform may be facilitated by third-party services (e.g., Stripe, PayPal). We do not store or process full payment details ourselves.
  • Refund Policy:
    • Digital Goods: No refunds on digital software downloads once the purchase is completed.
    • Hardware: Refunds and returns, if applicable, are subject to the manufacturer's policies.

DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM AND ALL SERVICES, CONTENT, AND MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE." ALLBCI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, SECURE, OR AVAILABLE AT ALL TIMES, OR THAT ANY DEFECTS WILL BE CORRECTED.

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ALLBCI OR ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL) ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE PLATFORM, EVEN IF ALLBCI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE PLATFORM IS TO STOP USING IT.

INDEMNIFICATION

You agree to defend, indemnify, and hold harmless ALLBCI and its affiliates from and against all claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the Platform, your breach of these Terms, or your violation of any law or the rights of a third party.

TERMINATION OF SERVICES

  • Termination by ALLBCI: We reserve the right, at our sole discretion, to suspend or terminate your account (and/or access to the Platform) for any violation of these Terms or if required by law or regulation.
  • Termination by You: You may close your account at any time by contacting us. Upon account deletion or termination, your license to use the Platform shall cease immediately.

GOVERNING LAW & DISPUTE RESOLUTION

  • These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of Utah, USA, without regard to its conflict of law principles.
  • Any dispute or claim shall be submitted to binding arbitration in [County], Utah, in accordance with the rules of the American Arbitration Association. You waive the right to participate in class-action lawsuits.
  • Notwithstanding the above, ALLBCI may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

CHANGES TO THESE TERMS

We may update or revise these Terms periodically to reflect changes in our business practices or legal requirements. We will post the revised Terms on the Platform and update the "Last Updated" date. Your continued use of the Platform after any such update constitutes your acceptance of the revised Terms.
